Dean Marsan is a tax attorney who formerly spent the better part of two decades with Lehman Brothers as Senior Tax Counsel. From his offices in New York City, New York, Mr. Marsan was an important part of Lehman Brothers’ overall tax strategy and participated on the Firm Investment, Loan Commitment, and Fairness Committees. As a participant on the firm’s Investment, Commitment and Fairness Committees, Dean Marsan performed the tax diligence for the firm’s transactions, including fixed income, equities, and IBD and IMD loan and equity commitments. Dean Marsan also supported Lehman Brothers’ compliance with the Bank Secrecy Act.
For twenty years at Lehman Brothers, Dean Marsan participated in the Global Investment Management Division, which included Real Estate, Private Equity, Credit, Opportunity, Alternative and Distressed Debt Funds. Dean Marsan oversaw Lehman Brothers’ tax structuring, and he took an active role in negotiating and implementing domestic and cross-border investment advisory agreements. Dean Marsan implemented efficient tax structures for Lehman Brothers, working proactively with the bankers, other counsel, and Big 4 accountants to ensure diligence and compliance with principles of investment and risk mitigation planning. Taking initiative, Dean Marsan designed senior management incentive structures as a compensation and retention device, as well as discounted carry/fee structures for both private equity and hedge funds.
Mr. Marsan holds a J.D. from Franklin Pierce Law Center and a LL.M. in Taxation from New York University School of Law. Dean Marsan is admitted to practice law in New York State and the District of Columbia. Dean Marsan is also a Certified Public Accountant in Maryland and New Hampshire.
